Terms of Service

Brandrive provides a directory of creator profiles, tools for sending and managing collaboration requests, in app messaging, and a shared calendar for confirmed collaborations. We introduce businesses and creators to each other. We are not an agency, we do not employ creators, and we are not a party to any collaboration agreed between users.

You must be at least 18 years old and able to enter into a binding contract to use Brandrive. When you register you must provide accurate, current information, and you must keep it up to date. You are responsible for everything that happens under your account, so keep your login details secure and tell us promptly if you believe your account has been accessed without your permission.

Business accounts represent a business, and the person who registers confirms they are authorised to act for that business. Creator accounts represent an individual creator. You may not create accounts for other people, operate multiple accounts to avoid restrictions, or share an account between different people.

• Business accounts are billed at NZ$399 per month on a recurring subscription. Creator accounts are free.
• Prices are in New Zealand dollars. Any GST applies in addition where it is chargeable.
• Subscriptions renew automatically each month until cancelled, and are charged in advance to the payment method on file.
• You can cancel at any time from your billing settings. Your subscription stays active until the end of the period you have already paid for, and it will not renew after that.
• Payments are processed by our third party payment provider. We do not store your full card details.
• If a payment fails we may suspend access to subscriber features until the amount is paid.
• Fees already paid are not refunded for part months, except where the law requires a refund.
• We may change the subscription price or the features included. We will give you reasonable notice before a price change takes effect, and you may cancel before it applies.

• Creator profiles are reviewed before they appear in the directory. We may approve, decline, request changes to, or remove a profile at any time.
• Audience statistics you enter are shown as self reported until an administrator verifies them. You must not exaggerate or misrepresent your figures, audience, experience or availability.
• You must hold all rights needed to the photographs, video and other media you upload, and everyone shown in that media must have agreed to it being published on Brandrive.
• Keep your profile accurate. Profiles that are misleading, inactive, or that breach these terms may be hidden or removed.

Businesses and creators agree the terms of each collaboration directly between themselves, including deliverables, fees, dates, travel, cancellation, exclusivity, usage rights and licensing. Brandrive does not take a commission on collaborations, does not hold or process payments between users, and does not guarantee that any collaboration will be agreed, delivered or paid for.

• Once a request is accepted, both parties are expected to honour what was agreed and to communicate promptly about changes.
• Anyone publishing sponsored or gifted content must comply with New Zealand advertising and fair trading law, including clearly disclosing paid partnerships and gifted arrangements.
• If a dispute arises between users, you should try to resolve it directly with the other party. We may, but are not obliged to, help review a reported issue.

You keep ownership of the content you upload. By uploading it you grant us a non exclusive, worldwide, royalty free licence to store, resize, display and share that content within Brandrive so we can operate and promote the service, including showing creator profiles to subscribed businesses and featuring approved profiles on our public pages.

The Brandrive name, logo, design and underlying software belong to us and may not be copied or reused without our permission. You must not upload content you do not have the right to use, and we may remove any content that we believe breaches these terms or the rights of someone else.

• Do not harass, threaten, discriminate against or defame anyone, and do not send unwanted or bulk messages.
• Do not post unlawful, misleading, sexually explicit, violent, or infringing content.
• Do not scrape, harvest or bulk collect data or contact details from the platform, and do not use it to build a competing service.
• Do not attempt to bypass the subscription, the approval process, or any security or access control.
• Do not impersonate anyone, misrepresent your business or your results, or create fake profiles or reviews.
• Report anything that breaches these rules using the report tools or by contacting us.

We may suspend or close an account, and remove content, if we believe these terms have been breached, if a profile is no longer appropriate for the marketplace, or where we are required to do so by law. You may close your account at any time by contacting us. If your account ends, you should complete any collaborations already agreed, and clauses that by their nature should continue, including content licences already granted, payment obligations, disclaimers and limits of liability, will continue to apply.

Brandrive is provided on an as is basis. Profiles, statistics, messages and other information are supplied by users, and while we review creator profiles we cannot guarantee that information is accurate, complete or suitable for your purposes. We do not guarantee any particular result, creator availability, or uninterrupted availability of the platform, and we may change, suspend or withdraw features.

Nothing in these terms limits your rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other New Zealand law that cannot be excluded, and nothing in these terms is intended to mislead you about those rights. Where you use Brandrive for business purposes, the Consumer Guarantees Act does not apply to that use.

To the maximum extent permitted by law, Brandrive is not liable for indirect, incidental or consequential loss, loss of profit, loss of opportunity, loss of reputation, or loss of data, arising from your use of the platform or from any collaboration or dealing between users. Our total liability to you for all claims relating to the service is limited to the subscription fees you paid to us in the three months before the event giving rise to the claim.

We may update these terms as the platform develops. If a change is material we will notify you by email or in the app before it takes effect. Continuing to use Brandrive after that date means you accept the updated terms.

These terms are governed by the laws of New Zealand, and you agree to the non exclusive jurisdiction of the New Zealand courts.
